Jeremy has a broad range of legal expertise, with a focus on managed funds, securities law and alternative assets (private equity, venture capital, hedge funds and property investment).

Jeremy has special expertise in limited partnerships, helping to establish the first New Zealand venture capital fund structured as a limited partnership (Pioneer Capital Partners I LP) including negotiating its co-investment arrangements with the New Zealand Venture Investment Fund. In 2008, he also helped to launch the EY NZ Absolute Return Association hedge fund index for boutique hedge fund managers in New Zealand.
 
In addition to New Zealand, Jeremy is admitted to practise in England and Wales, the Cayman Islands and Guernsey in the Channel Islands.

Managed Funds

  • Structuring, establishing and advising retail and wholesale managed funds including unit trusts (including PIEs and cash PIEs), limited partnerships, investment companies, managed accounts, master-feeder structures, umbrella funds, co-investment schemes, protected cell companies and segregated portfolio companies
  • Structuring, establishing and advising offshore funds (Guernsey and Cayman)
  • Negotiating co-investment arrangements with major institutions, including the New Zealand Venture Investment Fund
  • Advising investment and fund management companies, administrators, trustees/custodians and prime brokers, including drafting standard management and administration contracts
  • Key clients include, or have included, AMP Capital Investors, Perpetual, Pioneer Capital Partners, Next Capital, Pure Capital, Watchman Capital, Public Trust, Covenant Trustees, UDC, Credit Suisse, Schroders, HSBC, Morgan Stanley, Close Bros, Barings, Investec, Financial Risk Management (FRM), Absolute Capital Management, Coller Capital Partners and Invesco

Securities Law

  • Advising and reviewing documentation with respect to public and private offers of securities in New Zealand, including offers of Australian registered managed investment schemes and wholesale funds in New Zealand
  • Advising on securities law implications of major property developments in New Zealand and Fiji
  • Advising on the laws relating to futures dealers
Corporate and Commercial Next Capital
  • Mergers and acquisitions, with an emphasis on private equity and venture capital due diligence and investment.
  • Sample transactions include assisting Australian private equity fund Next Capital on the acquisition of its stakes in Hirepool, Healtheries of New Zealand and Nutra Life, advising the shareholders of Independent Liquor (NZ) Limited on the sale of 100% of the shares to Pacific Equity Partners and CCMP Capital Asia Pte Limited and acting for Tetra Laval on its acquisition of Downer EDI
  • Corporate work including the incorporation of New Zealand, Guernsey and Cayman companies, due diligence, advice on business acquisitions and disposals, marinas, joint ventures, shareholder disputes, company migrations and amalgamations
  • Advising with respect to the Overseas Investment Act 2005
  • Advising growth companies
  • Advising Pike River Coal on its transportation chain arrangements
