Marie Kissick

Senior Associate - Banking and Finance

Marie is an experienced banking and finance lawyer.  She advises lenders, borrowers and other market participants on a wide range of financing transactions, including syndicated and bilateral facilities, receivables financing, real estate finance, and consumer finance.

Marie also specialises in advising financial institutions on regulatory compliance matters.  This includes advising on matters related to the Credit Contracts and Consumer Finance Act (CCCFA) (including the Responsible Lending Code) and the Fair Trading Act (FTA). Marie has been responsible for redrafting standard form contracts in ‘plain English’ for financial institutions to comply with the CCCFA and FTA.

Ranked as a Rising Star by leading legal directory The Legal 500 Asia Pacific, Marie is valued by clients for her ability to set out complicated legal concepts in a way that is easy to understand.

Marie originally joined MinterEllisonRuddWatts in 2007 and returned to the firm after spending four years in the banking team at Norton Rose Fulbright LLP in London. There, she was involved in some of the largest real estate finance transactions in the London market at that time. She has also gained a wide range of commercial experience from secondment opportunities in New Zealand and London.

CCCFA advice

Advising a bank on a major regulatory project ahead of changes to the Credit Contracts and Consumer Finance Act. This has included extensive advice on complex compliance and risk matters and redrafting a suite of home loan documents into ‘plain English’.

Unfair contract terms

Advising a variety of financial institutions on changes to their documents as a result of the unfair contract terms regime in the Fair Trading Act 1986.

New Zealand’s first ESG Loan

Acting for Synlait Milk Limited and its related entities in connection with its entry into an Environmental, Social and Governance (ESG) linked loan with ANZ Bank New Zealand Limited. This was the first ESG loan in New Zealand. Our role involved advising Synlait on the terms relating to the ESG arrangement and documenting the ESG mechanics.

Bond issues

Advising The New Zealand Refining Company Limited on the issue of $75 million of unsecured subordinated bonds in 2018 and acting for another issuer who abandoned the offer before going to market.
