Isaac heads the firm's public mergers and acquisitions (M&A) practice and co-leads our Māori business team. Isaac is a leading corporate lawyer specialising in M&A transactions, joint ventures, shareholder agreements, governance matters, and listed and unlisted corporate advisory work.

Highly valued and trusted for his collaborative approach, Isaac helps clients navigate the M&A process in a pragmatic and commercially focused manner. He also prides himself on the service-orientated approach he takes to his practice and is known for his responsiveness and reliability. Isaac has a wealth of experience particularly in public takeovers and the energy and primary industry sectors. He led our team advising on the New Zealand Law Awards – M&A Deal of the Year – Fonterra’s divestment of its Soprole dairy business to Gloria Foods. Isaac advised at Clifford Chance in both its Hong Kong and New York offices for more than six years. During his time there, he advised clients on significant and complex transactions throughout Asia, the United States, Europe, South America, Central America, and Australia. Clients value his international experience, the global perspective he brings to transactions and his understanding of how deal terms in New Zealand differ to other jurisdictions. This experience is invaluable when Isaac is advising on cross-border M&A or inbound M&A.

Career highlights

Advised Volpara on its Scheme Implementation Agreement with Lunit, Inc., marking the first New Zealand scheme of arrangement involving a solely ASX-listed company.

Advised Fonterra on the NZD1.055 billion sale of its Soprole dairy business in Chile to Peruvian dairy company, Gloria Foods. The transaction involved complex coordination with Chilean and Bermudan counsel, consents from multiple authorities, a public tender process, and intricate intellectual property licensing across jurisdictions.

Advised Jarden on the sale of its stake in Pearlfisher Capital. The transaction was staged in two tranches, adding complexity due to the governance arrangements that applied until Jarden fully exited the business.

Advised Entain, one of the world's largest sports betting and gaming groups, on their selection as the preferred partner to TAB NZ for a 25-year strategic arrangement. This partnership positions Entain as the sole domestic provider of sports and racing betting in New Zealand. The transaction was legally innovative, requiring the first-ever Ministerial approval under Section 54(4) of the Racing Industry Act.

Advised Channel Infrastructure on the sale of its decommissioned refinery assets to US-based Seadra Energy Incorporated.

Advised a leading New Zealand private equity firm on subscribing for 35% of shares in a property funds manager. The transaction completed smoothly in a highly regulated environment.

Advised ACC and Mafic Partners on the establishment of Zealandia Fund aimed at providing investors with access to PPP (or PPP-like) investments.

Advising on numerous takeovers, including acting for Tilt Renewables Limited in respect of the takeover offer and a scheme of arrangement, Trustpower Limited and King Country Electric Power Trust on their takeover of King Country Energy Limited, Bounty Foods in respect of its takeover of Tegel Group Holdings Ltd, and an unincorporated joint venture in respect of its takeover of Finzsoft Solutions Limited.
