Leading New Zealand nutrition business, The Better Health Company (TBHC) has agreed to sell its company, in entirety, to Nestlé Health Science. The group includes the GO Healthy, Egmont Honey and New Zealand Health Manufacturing businesses.

Leading law firm, MinterEllisonRuddWatts advised long-standing client, The Better Health Company Limited, and its major shareholder CDH investments.

Nestlé’s purchase of TBHC brings regional expansion, with the GO Healthy and Egmont Honey products continuing to be produced at the Auckland and New Plymouth production facilities.

The MinterEllisonRuddWatts team, led by Corporate Partner Mark Forman included partners Simon Akozu, June Hardacre, senior associates James Marrier and Alastair Gatt, and solicitor Brad Cope.

The team advised on all aspects of the deal including conducting vendor due diligence, drafting and negotiating the share sale agreement, and related ancillary agreements.

Upon reaching agreement, Partner Mark Forman said: “We were delighted to work alongside the business and its shareholders on this strategically important transaction. The transaction provides GO Healthy and Egmont Honey with fantastic growth potential outside of Australasia by benefiting from Nestlé’s globally renowned brand, while continuing to be a New Zealand-operated business, and is a credit to the outstanding efforts of the GO Healthy and Egmont Honey founders, together with the CDH investments team.”

The acquisition is subject to Overseas Investment Office approval.
